APR to merge with subsidiary APR Factory to boost efficiency

APR said it has decided to absorb its subsidiary APR Factory in a merger aimed at maximizing organizational and operational efficiency.

"This merger is a strategic decision to maximize organizational and operational efficiency and enhance our core business competitiveness," an APR official said.

The merger is scheduled to take effect on Dec. 31, with registration expected to be completed on Jan. 6 next year. Under the plan, APR Factory will cease to exist as a separate legal entity, allowing the parent company to fully internalize its research, development, product planning, production and logistics value chain.

APR Factory operates three production bases in Gasan, Seoul, and Pyeongtaek, Gyeonggi Province. By integrating these facilities, APR intends to optimize its production infrastructure to support emerging ventures in medical aesthetics, including its EBD and skin booster lines. The subsidiary, which generated 118.7 billion won in revenue last year, serves as the central hub for this integrated value chain.

The subsidiary swung to a net profit of 3.5 billion won in 2024 from a loss of 526 million won a year earlier. Its operating profit for 2024 stood at 6.66 billion won, with total assets of 85.9 billion won against liabilities of 41 billion won. The turnaround marks a significant shift from the 526 million won deficit recorded in 2023.

Cosmetics and beauty devices remain the company's primary revenue drivers, accounting for 84.5 percent and 14.6 percent of sales respectively in the second quarter of 2026.
