BGF and SNT Motive absorb subsidiaries to streamline operations
Major Korean firms are using simplified merger procedures to consolidate wholly-owned units and cut corporate complexity.
Major firms like BGF and SNT Motive are absorbing their fully-owned subsidiaries through simplified merger procedures.
BGF is merging its subsidiary BGF Eco Solution into the surviving entity BGF Eco Materials. The small-scale merger targets improved management efficiency and stronger business competitiveness. BGF Eco Solution, which manufactures other plastic products, holds total assets of 24.6 billion won ($17.9 million) and recorded a net loss of 553 million won (-$402,565) in the recent period.
The merger ratio stands at 1.0000000 to 0.0000000. The contract was signed on the 8th, with the official merger date set for Dec. 1. This continues a series of structural adjustments for the group; BGF Eco Materials previously absorbed Daewon Chemical in October 2025 and deregistered its Chinese unit in April 2026.
Similarly, SNT Motive is absorbing SNT Robotics, a wholly-owned subsidiary established last July. SNT Robotics, engaged in industrial robot manufacturing, carries total assets of 30.5 billion won ($22.2 million) but generated only 4.05 million won ($2,948) in revenue.
Despite an operating loss of 610 million won (-$444,355), SNT Robotics posted a net profit of 488 million won ($354,961). The merger contract was finalized on the 4th, with registration scheduled for Nov. 6.
