Supreme Court rules unlicensed markets violating capital law even without trades

The Supreme Court ruled that operating an unlicensed financial investment product market violates South Korean capital laws even if no actual securities trading takes place.

In a decision released April 30 in case 2026Do459, the high court clarified that the definition of such a market under the Capital Markets and Financial Investment Services Act extends beyond venues where buying and selling physically occur. The court reasoned that the law's primary purpose is to protect investors and maintain market trust, which are undermined whenever an unauthorized entity creates the appearance of a regulated exchange, regardless of whether specific trades are executed.

Any platform possessing an exterior appearance leading average participants to believe trading is happening falls under the legal definition. This interpretation aligns with the 2013 legislative shift from a state-mandated monopoly on exchanges to a licensing system, which the court found did not intend to narrow the scope of criminal penalties to only those venues where transactions were completed.

To determine if a venue qualifies as an unlicensed market, judges must assess whether it offers functions like depositing funds or withdrawing proceeds similar to real exchanges. Other factors include providing real-time price data, recording nominal trades with resulting quantities and values, and whether participants perceived the environment as a trading floor.

Offenders face up to five years in prison or fines reaching 200 million won.
