DL E&C plans 55.5 billion won treasury-share buyback trust

DL E&C's planned share-purchase trust is intended to implement its three-year shareholder-return policy and cancel acquired common shares.

DL E&C plans to enter a 55.5 billion won treasury-share purchase trust, a program to support its three-year shareholder-return policy through the cancellation of acquired shares, according to a regulatory filing made on July 30.

Samsung Securities is scheduled to enter DL E&C's treasury-share purchase trust agreement on July 31, the same date set for the arrangement's scheduled commencement. It is set to run from July 31 through Dec. 24, according to the contract period disclosed by DL E&C. DL E&C's board approved the trust plan on July 30, a day before the agreement's scheduled signing and starting date.

The company expects the trust to acquire 1,059,160 common shares at a planned price of 52,400 won each, according to the filing. The actual number of shares acquired and their purchase price may change as DL E&C's share price moves in the future.

Before the proposed agreement, DL E&C held 1,100,739 common shares, or 2.8 percent, and 176,397 other shares, or 4.2 percent, respectively. The acquired common shares are expected to remain in DL E&C's holdings for no more than one year after their purchase.

DL E&C operates civil engineering, housing and plant construction businesses, with housing its largest segment, accounting for 54.3 percent of revenue in the first quarter of 2026.

In the second quarter, consolidated revenue fell 9.5 percent from a year earlier to 1.8029 trillion won, according to the company's reported second-quarter earnings. Consolidated operating profit, however, increased 26.3 percent from a year earlier to 159.4 billion won, as disclosed by the company.

Operating margin reached 8.8 percent, up 2.5 percentage points from a year earlier, in the same second-quarter consolidated results disclosed by DL E&C.

The consolidated cost ratio for the second quarter was 82.7 percent, down 4.6 percentage points from the corresponding period a year earlier, DL E&C said.

Revenue from housing at DL E&C and its overseas units rose 8.4 percent to 714.5 billion won in the second quarter from a year earlier. Plant revenue declined 3.7 percent to 182.7 billion won, while civil-engineering revenue dropped 23.9 percent to 538.3 billion won in the quarter.

Consolidated new orders in the second quarter surged 223.9 percent from a year earlier to 3.1181 trillion won, DL E&C reported. Cumulative new orders for the first half totaled 5.2446 trillion won, a 110.7 percent increase from the year-earlier period in 2026.

The company separately reported second-quarter net income of 129.7 billion won in an earnings disclosure published on July 30.

For the first half, cumulative consolidated revenue was 3.5282 trillion won, according to the company's disclosures covering results for that period. First-half operating profit was 316.8 billion won, while net income totaled 289.9 billion won, based on the cumulative figures reported by DL E&C.
