Bonne seeks 2.2 billion won in third-party share issue

Cosmetics maker Bonne will place all 1,678,096 new shares with H Investment Association at a 10 percent discount to its reference price.

Bonne said it plans to raise 2.2 billion won for operating funds through a third-party allotment of 1,678,096 new shares to H Investment Association, according to an Aug. 3 regulatory filing.

The filing sets a proposed issue price of 1,313 won per share, 10 percent below the 1,458 won reference price used for the capital increase.

Bonne's board approved the transaction on July 31, and the final issue price is scheduled to be determined on Aug. 5.

A revised filing reflecting the final price is scheduled for Aug. 6 under the share issue terms announced by the company.

Payment is due on Aug. 10, while the new shares are scheduled to be listed on Aug. 24 under the same timetable.

The new shares have a par value of 500 won and will carry dividend rights from Jan. 1 under the stated terms.

Before the planned issuance, Bonne had 8,390,484 common shares outstanding, setting the current share count reported for the planned capital increase.

The filing said the board chose H Investment Association after considering a board recommendation and payment capability, alongside management objectives and the need for rapid financing.

That recipient has one contributor, its representative general partner Park Chun-geum, who holds 100 percent of the association's stake, according to the filing.

H Investment Association reported total assets, total equity and capital of 10 million won each for 2025 in the disclosure.

Bonne's main business spans cosmetics ODM and OEM work and sales of skincare, eye and color cosmetic products, including goods sold under its own brands.

During the first quarter of 2026, its consolidated sales included both export and domestic channels, according to the revenue mix contained in the company's disclosure.

Other products and color cosmetics represented the largest portions of revenue by product in the company's reported sales mix for the same period.

Bonne expanded distribution of its Touch In Sol brand in 2026 by adding it to Olive Young's online mall, a new channel for the brand.

Separate filings on Aug. 3 covered a planned convertible-bond issuance, while an Aug. 4 disclosure involved a small public offering of equity securities.

On July 31, Bonne disclosed a share purchase agreement expected to result in a change in the company's largest shareholder.

On July 27, the company set a shareholder-register closure period or record date in connection with a shareholders' meeting it planned to convene.

On the same day, it formally approved the resolution to call that meeting, according to the company's related disclosure.

On July 20, it filed a corrected report on the results of its treasury-share purchases, ahead of the capital and ownership-related actions that followed.
